IMPORTANT LEGAL NOTICE
PLEASE READ THESE TERMS & CONDITIONS CAREFULLY. THEY CONTAIN IMPORTANT PROVISIONS CONCERNING YOUR LEGAL RIGHTS, INCLUDING BINDING INDIVIDUAL ARBITRATION, A CLASS-ACTION WAIVER, AND EXCLUSIVE JUDICIAL VENUE IN ALLEGHENY COUNTY, PENNSYLVANIA.
WHERE YOU HAVE VALIDLY AGREED TO ARBITRATION AND A DISPUTE IS SUBJECT TO THAT AGREEMENT, YOU AND SIGMA CONTINENTAL CORPORATION AGREE TO RESOLVE THAT DISPUTE THROUGH INDIVIDUAL ARBITRATION RATHER THAN THROUGH A COURT PROCEEDING BEFORE A JUDGE OR JURY, EXCEPT AS OTHERWISE PROVIDED IN THESE TERMS OR REQUIRED BY LAW.
BY VALIDLY ACCEPTING THE ARBITRATION AGREEMENT, YOU ACKNOWLEDGE THAT YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL FOR COVERED DISPUTES AND, TO THE EXTENT PERMITTED BY LAW, YOUR RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ARBITRATION.
These restrictions apply only to disputes legally covered by an enforceable arbitration agreement. Certain employment, transportation-worker, administrative, and other statutory claims are excluded as described below.
Consent to receive SMS messages, automated telephone calls, or marketing communications is separate from acceptance of these Terms.

For services requiring contractual acceptance, you agree to these Terms by affirmatively selecting the applicable acknowledgment or acceptance control.
Merely viewing publicly available website content does not, by itself, establish assent to the arbitration or class-action waiver provisions.
If you do not agree to the applicable Terms, you must discontinue use of those services that require acceptance.
2. Scope and Applicability
These Terms apply to the Company's public website and online services expressly governed by them, which may include:
- General information concerning the Company's operations.
- Employment opportunities and recruitment activities.
- CDL and non-CDL employment application systems.
- Applicant profiles and account registration.
- Application verification and recruitment correspondence.
- Interview scheduling and applicant screening communications.

- Authorized telephone, email, and SMS communications.
- Other online features designated by the Company.
Separate employment contracts, employee handbooks, collective bargaining agreements, customer contracts, transportation service agreements, and third-party platform agreements may contain additional or different provisions.
These Terms do not automatically govern the operations of separately incorporated Sigma Transport entities or establish contractual obligations on behalf of another company.
Where a separate valid agreement directly governs a particular relationship or transaction, that agreement controls to the extent of any conflict.
3. Company and Third-Party Relationships
Sigma Continental Corporation is an independently operated transportation and logistics business.
The Company may provide pickup, delivery, transportation, logistics, and related services under contractual relationships with third parties, including FedEx-affiliated entities.
References to FedEx, its services, trademarks, or operations do not establish that Sigma Continental applicants or employees are employed by FedEx.
Employment relationships are established with the applicable hiring entity as identified in the relevant employment documents.
Third-party trademarks, service marks, names, and logos remain the property of their respective owners.
Nothing on the website creates an agency, partnership, employment, or joint-venture relationship between a website user and a third party.
4. Eligibility and Minors
The Company's website is primarily intended for individuals 18 years of age or older who are seeking employment, business information, or transportation-related services.
The website is not directed toward children under 13 years of age.
Individuals under 13 must not create accounts, submit employment applications, or independently provide personal information through the website.
Individuals between the ages of 13 and 17 may access publicly available content subject to applicable law and any required parental or legal guardian involvement.
Submission of an employment application does not establish eligibility for employment.
Certain positions may require minimum ages, valid licenses, commercial driver qualifications, or other regulatory requirements.
The Company may decline applications that do not satisfy applicable age or qualification requirements.
If the Company learns that information was collected from a child under 13 without the legally required authorization, it will take appropriate action, including deletion where required by applicable law.
Parents or legal guardians may contact info@sigmacontinental.com regarding information submitted by a minor.
5. Website Access and Acceptable Use
Users agree to access and use the website only for lawful and authorized purposes.
Prohibited activities include:
- Providing knowingly false, fraudulent, or materially misleading information.
- Impersonating another individual, employee, applicant, or organization.
- Attempting unauthorized access to Company accounts, records, networks, or systems.
- Circumventing website authentication, authorization, or security controls.
- Introducing viruses, malware, ransomware, or other malicious software.
- Interfering with website performance or availability.
- Using automated scraping or extraction tools without authorization, except where legally protected.
- Collecting or disclosing another person's personal information without authorization.
- Infringing intellectual property rights.
- Using the website to threaten, harass, discriminate against, or unlawfully harm another person.
- Exploiting website errors or vulnerabilities.
- Using website services for activities that violate applicable federal, state, or local laws.
The Company may investigate suspected misuse and restrict access where reasonably necessary to protect its operations, users, and information.
Appropriate legal remedies may be pursued when authorized by law.
6. User Accounts and Authentication
Certain website or employment application features may require account creation or identity verification.
Users agree to maintain accurate account information and safeguard credentials and verification codes.
Users must not share authentication credentials with unauthorized persons.
The Company may use email verification, one-time passcodes, multi-factor authentication, or other security procedures.
Users should promptly notify the Company of suspected unauthorized account access.
The Company may temporarily suspend access during a reasonable security investigation.
Account access does not grant ownership of Company systems, databases, software, or business records.
Authentication-related communications are distinct from optional recruiting SMS communications and will be sent only in compliance with applicable law and messaging requirements.
7. Employment Opportunities
The Company may advertise open or anticipated positions, including delivery drivers, commercial drivers, supervisors, fleet personnel, administrative employees, and other positions.
Position descriptions, compensation ranges, benefits, schedules, locations, qualifications, and other employment information may change.
Employment advertisements are informational and do not constitute binding offers of employment.
The Company may modify, suspend, or discontinue recruitment for a position in accordance with applicable law.
Submission of an application does not guarantee an interview, job offer, or employment.
8. Employment Applications
Employment applications may be initiated through:
https://www.sigmacontinental.com/apply
Applicants may be required to provide information such as:
- Full legal name and contact details.
- Address and employment eligibility information.
- Employment and education history.
- Professional qualifications and references.
- Driver's license and commercial driver's license information.
- Applicable endorsements and certifications.
- Driving history and relevant vehicle operation experience.
- Availability and scheduling preferences.
- Other information relevant to lawful employment evaluation.
Applicants represent that their submitted information is accurate and complete to the best of their knowledge.
Applicants must not knowingly misrepresent employment qualifications, licensing status, professional experience, or identity.
The Company may request additional documentation or clarification.
Applications may be retained and evaluated in accordance with applicable law and the Company's Privacy Policy.
9. Driver Qualifications and Transportation Requirements
Driving positions may be subject to federal and state transportation requirements, including applicable Department of Transportation and Federal Motor Carrier Safety Administration regulations.
Depending on the position, applicants may be required to satisfy licensing, driving experience, medical qualification, safety, or customer-specific requirements.
Applicants may be subject to lawful background screening, motor vehicle record reviews, employment verification, and other appropriate qualification assessments.
Some positions may require compliance with contractual safety and operational standards established by transportation customers.
Nothing in these Terms substitutes for legally required disclosures, authorizations, driver qualification documents, drug and alcohol testing notices, or other regulatory procedures.
The Company may determine that an applicant does not satisfy a position's requirements, subject to applicable law.
10. Background Checks and Screening
The Company may use authorized third-party screening providers to evaluate applicant qualifications where legally permitted.
Screening may include:
- Employment verification.
- Professional reference checks.
- Motor vehicle record reviews.
- License and certification verification.
- Criminal background information where lawfully relevant.
- Other employment-related screening required or permitted by applicable law.
Background reports obtained from consumer reporting agencies will be handled in accordance with the Fair Credit Reporting Act and other applicable laws.
Where legally required, applicants will receive separate disclosures, authorization requests, and adverse-action notices.
Acceptance of these Terms does not constitute authorization for any background check requiring a separate legally prescribed disclosure or consent.
11. Equal Employment Opportunity and Accommodations
Sigma Continental administers recruitment and employment activities subject to applicable equal employment opportunity laws.
The Company will consider requests for reasonable accommodations in accordance with applicable law.
Applicants who experience difficulty accessing or completing the online application may contact:
info@sigmacontinental.com
Nothing in these Terms limits an applicant's right to pursue legally protected complaints or obtain accommodations required by law.
12. No Employment Contract
No statement contained on the website creates a guarantee of employment, a specific employment duration, or a binding employment contract.
Recruitment communications, interviews, application submissions, preliminary approvals, and onboarding steps do not independently establish an employment relationship.
Any employment offer may be subject to lawful conditions, including qualification verification and required documentation.
These Terms do not replace applicable employee handbooks, signed employment agreements, or legally required workplace notices.
Nothing in these Terms eliminates non-waivable employment rights.
13. Electronic Records and Signatures
Certain services may permit electronic submission, acknowledgment, or execution of forms and documents.
When permitted by applicable law and supported by valid consent, electronic signatures and records may have the same legal effect as their paper equivalents.
The Company may retain relevant transaction records, including document versions, timestamps, user acknowledgments, and other audit information.
Separate authorization will be obtained where required for electronic disclosures, signatures, or records.
Users are responsible for reviewing documents before electronically accepting them.
14. Electronic Communications
The Company may communicate with users through authorized methods, including telephone, email, account notifications, and SMS or MMS where appropriate consent or another lawful basis exists.
Communications may relate to:
- Employment applications.
- Interview scheduling.
- Recruiting inquiries.
- Qualification or screening matters.
- Onboarding activities.
- Account verification.
- Customer or applicant support.
- Transportation and service-related activities.
- Other lawful business matters.
Providing contact information does not automatically constitute consent for every communication method.
Acceptance of these Terms does not independently establish consent for automated telephone calls, artificial or prerecorded voice calls, or SMS messages where separate consent is legally required.
15. Employment SMS Messaging Program
15.1 Program Name
Sigma Continental Corporation Employment Communications
15.2 Program Description
Sigma Continental Corporation operates an optional SMS program for employment applicants.
Applicants who voluntarily enroll may receive informational or customer support text messages regarding:
- Employment application updates.
- Application status and confirmation.
- Interview scheduling, reminders, and changes.
- Recruiting and screening questions.
- Requests for additional applicant information.
- Employment qualification requirements.
- Hiring and pre-employment documentation.
- Onboarding instructions.
- Responses to applicant questions.
- Related recruitment communications.
The employment SMS program is not intended for unrelated advertising or promotional messages.
15.3 How to Opt In
Applicants may voluntarily enroll through the employment application at:
https://www.sigmacontinental.com/apply
Applicants enter their mobile telephone number and independently select an optional SMS consent checkbox.
The checkbox is unchecked by default and requires affirmative selection.
The consent disclosure identifies Sigma Continental Corporation, describes the messages covered, and provides information concerning message frequency, charges, assistance, and cancellation.
CONSENT TO RECEIVE SMS MESSAGES IS NOT REQUIRED TO APPLY FOR EMPLOYMENT OR BE CONSIDERED FOR A POSITION.
Submitting an employment application, entering a telephone number, or accepting these website Terms does not by itself constitute SMS consent.
15.4 Message Frequency
Message frequency varies.
Message volume depends on the applicant's stage of recruitment, interview scheduling, screening activity, and onboarding requirements.
Some applicants may receive multiple messages during active recruiting periods and no messages when there are no relevant updates.
15.5 Message Charges
Message and data rates may apply.
Sigma Continental does not charge a separate subscription fee for its employment SMS program.
Wireless carriers may assess charges according to the recipient's service plan.
15.6 Opt-Out Instructions
REPLY STOP TO ANY PROGRAM TEXT MESSAGE TO UNSUBSCRIBE.
The Company will process valid opt-out requests in accordance with applicable law and messaging requirements.
A permitted confirmation message may be sent acknowledging cancellation.
Unsubscribing from SMS messages does not automatically withdraw an employment application or end consideration for employment.
Other lawful methods of communication may continue.
15.7 Assistance
REPLY HELP TO ANY PROGRAM TEXT MESSAGE FOR ASSISTANCE.
Applicants may also contact:
info@sigmacontinental.com
15.8 Carrier Disclaimer
Carriers are not liable for delayed or undelivered messages.
Message delivery is dependent upon network availability, device compatibility, wireless carrier filtering, and other external factors.
The Company does not guarantee immediate or uninterrupted delivery.
15.9 Mobile Number Accuracy
Participants must provide a mobile telephone number they are authorized to use.
Participants should notify the Company if a number changes, is disconnected, or is no longer under their control.
The Company may discontinue messaging to numbers determined to be invalid or reassigned.
15.10 SMS Privacy and Non-Sharing
The Company may collect and retain mobile telephone numbers, SMS opt-in records, message activity, and opt-out information to administer the SMS program, document consent, and comply with legal obligations.
WE DO NOT SELL OR SHARE SMS OPT-IN DATA OR PERSONAL INFORMATION WITH THIRD PARTIES OR AFFILIATES FOR MARKETING OR PROMOTIONAL PURPOSES.
Mobile information and text messaging originator opt-in data and consent will not be shared with third parties for their independent marketing or promotional activities.
Authorized service providers may process information only as necessary to facilitate message delivery, support, security, and program administration under appropriate contractual protections.
Additional details are available in the Privacy Policy:
https://www.sigmacontinental.com/privacy_policy
15.11 Program Changes
The Company may modify, suspend, or discontinue the SMS program.
Material changes requiring additional notice or renewed consent will be addressed according to applicable law and messaging requirements.
Consent for employment communications will not automatically authorize unrelated marketing campaigns.
16. Telephone Contact, Automated Calls, and Marketing Communications
Where the individual has provided any legally required consent, the Company and its authorized service providers may contact the individual using the telephone number provided or otherwise lawfully maintained in Company records.
Calls or messages may relate to employment applications, recruiting, onboarding, employment administration, customer support, transportation services, or shipment and load tracking where relevant to the recipient's relationship with the Company.
Communications may involve automated dialing technology, artificial or prerecorded voice technology, or comparable systems only when permitted by law and supported by any required consent.
The Company does not treat a website Terms acknowledgment, employment application submission, or disclosure of a telephone number as blanket authorization for automated calling, prerecorded messages, or telemarketing.
Any consent legally required for automated or prerecorded calls must be obtained through a separate, legally sufficient process.
Marketing calls or messages requiring prior express written consent must be authorized independently.
Consent to marketing is not a condition of applying for employment or receiving Company services.
Recipients may revoke applicable consent using reasonable methods recognized by law.
Applicable Do Not Call requirements, the Telephone Consumer Protection Act, and other controlling communications laws will govern.
17. Call Recording and Monitoring
The Company may monitor or record certain telephone calls or communications for legitimate purposes, including quality assurance, employee training, security, compliance, and dispute resolution.
Recording will occur only when legally permitted and after any notice or consent required by applicable law has been obtained.
Acceptance of these Terms does not replace legally required consent from all participants in a recorded communication.
Records may be retained in accordance with applicable law, Company policies, and legitimate business needs.
18. Privacy and Personal Information
The collection, processing, use, sharing, and protection of personal information are governed by the Company's Privacy Policy:
https://www.sigmacontinental.com/privacy_policy
Information processed through Company services may include identifying information, contact information, application records, employment qualifications, electronic communications, account activity, and technical or security data.
Authorized service providers may process information on the Company's behalf for legitimate business purposes.
The Company will comply with applicable privacy and data-protection requirements.
Nothing in these Terms waives non-waivable privacy rights.
19. Cookies, Analytics, and Similar Technologies
The website may employ cookies, server logs, analytics, authentication technologies, and other technical tools.
Such technologies may be used to support website functionality, maintain security, evaluate performance, prevent abuse, and improve user experience.
Certain third-party services may independently collect technical information when incorporated into the website.
Information concerning applicable technologies, privacy choices, and data practices is addressed in the Privacy Policy.
Users may manage certain technologies through browser or device settings.
Disabling cookies or similar technologies may limit website functionality.
20. Intellectual Property
Unless otherwise stated, website content and its original arrangement, design, images, graphics, software components, text, and other protected materials are owned by or licensed to Sigma Continental or their respective rights holders.
Users receive a limited, revocable, nonexclusive, and nontransferable permission to access the website for lawful informational, employment-related, or authorized business purposes.
No ownership rights are conveyed through website use.
Unauthorized reproduction, commercial exploitation, distribution, modification, or republication of protected materials is prohibited except where permitted by law or authorized by the rights holder.
All third-party trademarks remain the property of their respective owners.
21. User-Submitted Information
Users may submit documents, forms, images, information, messages, or other materials through authorized website features.
Users represent that they are entitled to provide the submitted materials and that their submissions do not knowingly violate applicable law or another person's rights.
Users authorize the Company to receive, store, process, transmit, and use such materials as reasonably necessary to provide requested services, administer recruitment, meet legal obligations, and conduct legitimate business activities.
This authorization does not transfer ownership of the user's preexisting intellectual property.
Users should not transmit highly sensitive information through unapproved or unsecured channels.
22. Third-Party Websites and Services
The website may contain links to or integrations with external websites, recruitment systems, background screening services, verification systems, communication platforms, and other service providers.
Third-party services may operate under their own terms and privacy policies.
The Company does not necessarily control the content, availability, policies, or security of independently operated third-party websites.
Providing a third-party link does not automatically constitute endorsement.
Nothing in this section eliminates responsibilities imposed on the Company by applicable law for its own activities or service-provider relationships.
23. Accuracy of Information
The Company makes reasonable efforts to provide accurate and useful website information.
However, website content may contain errors, omissions, or outdated information.
The Company does not guarantee that every description, schedule, employment opportunity, qualification, or other item of information is complete or current.
Information is subject to correction or change in accordance with applicable law.
Users should independently verify material information when necessary.
24. Website Availability and Security
The Company makes reasonable efforts to maintain website accessibility and protect information.
However, uninterrupted service and absolute security cannot be guaranteed.
Website services may be temporarily unavailable due to maintenance, upgrades, cybersecurity incidents, network interruptions, or other causes.
The Company may implement reasonable access restrictions or technical controls to protect systems and information.
Users must promptly report suspected security vulnerabilities or unauthorized account activity through appropriate channels.
If a security incident triggers a legal notification obligation, the Company will provide notices as required by applicable law.
25. Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ASSOCIATED ONLINE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
The Company disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent such disclaimers are legally permitted.
The Company does not guarantee uninterrupted website operation, error-free functionality, or the absence of all cybersecurity threats.
Nothing in this section excludes warranties or protections that cannot lawfully be excluded.
26. Limitation of Liability
To the fullest extent permitted by law, Sigma Continental shall not be liable for indirect, incidental, special, punitive, or consequential damages arising solely from use of or inability to use the website or covered online services.
These limitations do not apply to liability that cannot legally be excluded or restricted.
Nothing in these Terms limits legally protected employment rights, statutory remedies, liability for fraud or intentional misconduct, or other non-waivable protections.
27. Informal Dispute Resolution
Before initiating arbitration or litigation arising from the website or these Terms, the parties agree to attempt good-faith informal resolution where permitted by law.
A party seeking resolution may submit written notice describing:
- The party's name and contact information.
- The nature of the dispute.
- The relevant website service or transaction.
- The requested resolution.
Notices should be sent to:
Sigma Continental Corporation
Attn: Legal/Dispute Resolution
219 Main Street, Suite 300
Pittsburgh, PA 15215
Email: info@sigmacontinental.com
The parties will ordinarily have 30 days following receipt of sufficient written notice to attempt resolution.
Nothing in this section prevents urgent protective relief, the preservation of statutory deadlines, protected administrative proceedings, or other actions that applicable law permits.
28. Binding Individual Arbitration
28.1 Agreement to Arbitrate
TO THE EXTENT YOU HAVE VALIDLY ACCEPTED THIS ARBITRATION AGREEMENT AND ARBITRATION IS PERMITTED BY APPLICABLE LAW, YOU AND SIGMA CONTINENTAL CORPORATION AGREE TO RESOLVE COVERED DISPUTES THROUGH FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS.
THIS MEANS COVERED DISPUTES WILL GENERALLY BE DECIDED BY AN ARBITRATOR RATHER THAN BY A JUDGE OR JURY.
28.2 Scope of Arbitration
Subject to the exclusions below, covered disputes may include claims directly arising from or relating to:
- Use of the Company's website and covered online services.
- Online account access and registration.
- Website transactions or electronic submissions.
- Interpretation or performance of these Terms.
- Eligible disputes concerning website-based communications.
- Other website-service matters expressly subject to the arbitration agreement.
Arbitration applies only where valid contractual assent exists and the dispute is legally arbitrable.
28.3 Excluded Claims
This website arbitration agreement does not automatically apply to:
- Claims that applicable law prohibits from being subjected to predispute arbitration.
- Qualifying transportation-worker claims exempt from the Federal Arbitration Act, where no other independently enforceable arbitration agreement applies.
- Sexual assault or sexual harassment disputes excluded from mandatory predispute arbitration under applicable federal law.
- Substantive employment-related disputes concerning hiring decisions, discrimination, wages, hours, retaliation, termination, workplace injuries, or employment benefits, unless separately governed by an enforceable agreement expressly applicable to those disputes.
- Workers' compensation and unemployment compensation proceedings where applicable law provides another required procedure.
- Government enforcement actions and protected administrative proceedings.
- Claims properly brought in small claims court where arbitration is not required under this agreement.
- Other claims excluded under controlling law.
This provision does not replace a separately executed employment arbitration agreement.
28.4 Arbitration Law
The Federal Arbitration Act, 9 U.S.C. §§ 1–16, governs this arbitration agreement to the extent applicable.
Where the Federal Arbitration Act does not apply, arbitration may be compelled only under an independently valid agreement and applicable law.
Nothing in these Terms circumvents a statutory exemption from mandatory arbitration.
28.5 Arbitration Administrator
Covered disputes will ordinarily be administered by the American Arbitration Association ("AAA") under its applicable rules.
The AAA Consumer Arbitration Rules will apply to qualifying consumer disputes.
Where appropriate, the AAA Commercial Arbitration Rules may apply to qualifying commercial disputes.
Applicable rules and procedures are available at:
https://www.adr.org
If the AAA cannot administer an eligible dispute, the parties may agree upon another neutral administrator or seek appointment through an authorized court procedure.
28.6 Arbitrator
Unless applicable rules or an enforceable agreement provide otherwise, arbitration will be conducted before one neutral arbitrator.
The arbitrator may award individual remedies authorized by applicable law.
The arbitrator must apply governing substantive law and may not eliminate legally non-waivable remedies.
Questions of contract formation and enforceability will be determined by a court where required by law.
28.7 Arbitration Location
The designated legal seat of arbitration shall be Allegheny County, Pennsylvania, except where controlling law or binding arbitration rules require otherwise.
Hearings may occur remotely, by written submission, or through another permitted procedure.
No individual will be required to attend an unlawful or unduly restrictive hearing location.
28.8 Arbitration Fees
Filing fees, administrative costs, and arbitrator compensation will be allocated under the applicable arbitration rules and controlling law.
Where applicable law or consumer arbitration rules require the Company to pay certain costs, the Company will pay those costs.
No participant will be required to pay arbitration fees that applicable law prohibits imposing as a condition of pursuing a claim.
Attorney fees may be awarded where authorized by statute, applicable rules, or another enforceable agreement.
28.9 Arbitration Decision
The arbitrator's decision shall be final and binding to the extent provided by applicable law.
Judicial review and enforcement are governed by applicable arbitration statutes.
An award may be confirmed or enforced by a court with jurisdiction.
28.10 Arbitration Opt-Out
A user who has affirmatively accepted this website arbitration agreement may opt out within 30 calendar days after initial acceptance.
Opt-out notices must clearly identify the individual and state the intention to decline the arbitration agreement.
Notices may be sent to:
info@sigmacontinental.com
Subject: Arbitration Opt-Out
Or by mail to the Company's address listed above.
A timely opt-out does not affect eligibility to submit or maintain an employment application.
Opting out of arbitration does not automatically modify a user's separate SMS consent preferences.
29. Class-Action, Collective-Action, and Representative-Arbitration Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY AGREES THAT CLAIMS SUBJECT TO THE BINDING ARBITRATION AGREEMENT SHALL BE BROUGHT ONLY IN THAT PARTY'S INDIVIDUAL CAPACITY.
NEITHER PARTY MAY PARTICIPATE AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ARBITRATION FOR COVERED DISPUTES, EXCEPT WHERE APPLICABLE LAW PROHIBITS SUCH A WAIVER.
The arbitrator shall not consolidate claims belonging to separate individuals or conduct class arbitration without a legally valid basis.
This waiver does not restrict protected concerted activity, government agency proceedings, or other non-waivable statutory rights.
If the waiver is unenforceable with respect to particular claims or relief, those issues will be resolved by a court as required by applicable law.
The invalidity of the waiver shall not automatically authorize class arbitration.
Remaining provisions will continue only to the extent legally enforceable.
30. Pennsylvania Choice of Law
THESE TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE COMMONWEALTH OF PENNSYLVANIA, WITHOUT REGARD TO CONFLICT-OF-LAWS PRINCIPLES, EXCEPT WHERE CONTROLLING FEDERAL LAW OR OTHER MANDATORY LAW REQUIRES OTHERWISE.
The Federal Arbitration Act shall govern arbitration where applicable.
This provision does not eliminate non-waivable statutory rights or mandatory legal protections.
31. Exclusive Forum Selection and Venue
SUBJECT TO CONTROLLING LAW, ANY COURT PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS THAT IS NOT SUBJECT TO ENFORCEABLE ARBITRATION SHALL BE BROUGHT EXCLUSIVELY IN ALLEGHENY COUNTY, PENNSYLVANIA.
The designated courts are:
State Court: Court of Common Pleas of Allegheny County, Pennsylvania.
Federal Court: United States District Court for the Western District of Pennsylvania, Pittsburgh Division, when federal subject-matter jurisdiction exists and the matter is properly assigned to that division.
To the extent legally permissible, the parties consent to personal jurisdiction in the designated courts and waive objections based solely upon inconvenient forum.
ALLEGHENY COUNTY, PENNSYLVANIA SHALL BE THE EXCLUSIVE CONTRACTUALLY SELECTED JUDICIAL VENUE FOR COVERED DISPUTES TO THE EXTENT ENFORCEABLE UNDER APPLICABLE LAW.
This provision does not override mandatory venue, jurisdictional requirements, protected administrative proceedings, or other non-waivable legal rights.
A court may apply governing procedural rules or statutes concerning jurisdiction, transfer, assignment, or venue.
32. Jury Trial Waiver for Arbitrable Disputes
WHERE A COVERED CLAIM IS SUBJECT TO A VALID AND ENFORCEABLE ARBITRATION AGREEMENT, YOU AND SIGMA CONTINENTAL CORPORATION UNDERSTAND THAT THE CLAIM WILL BE RESOLVED BY AN ARBITRATOR RATHER THAN THROUGH A COURT PROCEEDING BEFORE A JUDGE OR JURY.
BY AFFIRMATIVELY ACCEPTING THAT AGREEMENT, EACH PARTY KNOWINGLY AGREES TO WAIVE THE RIGHT TO A JURY TRIAL FOR SUCH COVERED CLAIMS.
This acknowledgment does not impose an independent jury-trial waiver on claims excluded from arbitration or where the arbitration agreement is unenforceable.
33. Preservation of Legal and Regulatory Rights
Nothing in these Terms prohibits an individual from:
- Filing complaints with government agencies.
- Participating in investigations conducted by the Equal Employment Opportunity Commission.
- Exercising rights before the National Labor Relations Board.
- Reporting wage and hour violations.
- Filing workplace safety complaints.
- Reporting transportation safety violations.
- Exercising protected whistleblower rights.
- Pursuing lawful workers' compensation or unemployment claims.
- Exercising protected concerted activity.
- Cooperating with law enforcement.
- Exercising any other right that cannot legally be waived.
Nothing in these Terms prohibits legally protected disclosures or reporting of suspected unlawful conduct.
34. Indemnification for Unlawful Website Misuse
To the extent permitted by applicable law, business users who knowingly engage in unlawful website activity, unauthorized access, or infringement of third-party rights may be responsible for legally recoverable losses directly resulting from that misconduct.
This provision does not require employment applicants to indemnify the Company for ordinary application activities, good-faith disputes, protected reporting, or the exercise of statutory rights.
Nothing in this section transfers the Company's own statutory compliance obligations to applicants.
35. Suspension and Termination
The Company may modify, suspend, restrict, or discontinue website services for legitimate operational, legal, security, or technical reasons.
Access may be suspended or terminated for material violations of these Terms, subject to applicable law.
Termination of online access does not automatically terminate employment or withdraw a pending application.
Rights and obligations that lawfully accrued before termination may remain enforceable.
36. Website Accessibility
The Company seeks to provide reasonable accessibility to its website and employment application functions.
Individuals requiring assistance or a reasonable accommodation may contact:
info@sigmacontinental.com
Requests will be evaluated in accordance with applicable law.
37. International Users and Applicable Privacy Laws
The website is intended primarily for United States business operations.
Users accessing the website from other jurisdictions are responsible for compliance with laws applicable to their own conduct.
The Company will comply with privacy and data-protection laws applicable to its actual activities.
These Terms do not constitute a representation that every international privacy regulation applies to the Company.
Where legally required, additional notices, rights, or protections will be provided.
38. Changes to These Terms
The Company may update these Terms to reflect legal requirements, business changes, technology modifications, or revised services.
The effective and updated dates identify the version currently published.
Material changes will be communicated or presented for renewed acceptance where required by law.
Material amendments to the arbitration agreement will not automatically bind individuals where applicable law requires additional assent.
Changes to these Terms do not independently authorize new SMS or marketing communications.
39. Severability
If any provision is held invalid, illegal, or unenforceable, the remaining provisions will remain effective to the extent they can lawfully operate independently.
An invalid provision may be limited or severed to the extent permitted by applicable law.
The specific provisions addressing arbitration and class or representative proceedings govern their severability where applicable.
40. No Waiver
A party's failure to enforce a contractual provision on one occasion does not necessarily waive the right to enforce it later.
A waiver of one breach does not automatically waive another breach.
This section does not alter applicable statutory deadlines or legal requirements.
41. Assignment
Users may not transfer accounts, access permissions, or rights under these Terms without authorization where such restrictions are legally permitted.
The Company may assign its contractual rights and obligations in connection with a lawful merger, acquisition, reorganization, or sale of business assets, subject to applicable law.
SMS consent is not automatically transferable to another brand, business, or messaging program merely because of a corporate assignment.
Any transfer or continued use of communication consent must comply with applicable law.
42. Entire Agreement and Order of Precedence
These Terms govern the covered website services together with documents expressly incorporated into them.
They do not replace separate employment agreements, legally required disclosures, employee handbooks, background screening authorizations, or other valid agreements applicable to particular activities.
In the event of a conflict, controlling law governs, followed by the specific enforceable agreement governing the affected relationship or service.
The Privacy Policy separately governs the Company's applicable personal information practices.
43. Interpretation
Headings are provided for organizational convenience.
The terms "including" and "includes" are illustrative and not exhaustive.
References to laws or regulations include applicable amendments and legally controlling requirements.
No provision shall be interpreted to require unlawful conduct or waiver of legally non-waivable rights.
